Hakan KOCAER

Chairman of the Board

Hakan Kocaer was born in Denizli in 1972. He started his career in the iron and steel industry in 1990 and took part in all departments and processes of the Company. He has continued to work in the factories established in Izmir since 1996 and has taken an active role in the growth of the Company with the strategic decisions he has taken in line with his vision.

Mehmet Çakmur

Vice Chairman of the Board

A graduate of the Department of Industrial Engineering at Middle East Technical University (METU), Mehmet Çakmur began his professional career in 1990. He has more than 35 years of experience in the iron and steel industry.

Mehmet Çakmur has served as a member of the Company’s Board of Directors since 1 September 2023 and assumed the position of Vice Chairman of the Board on 25 September 2024. He also served as General Manager from 25 September 2024 to 31 May 2026.

Çakmur is also the Vice Chairman of the Board of the Steel Foreign Trade Association (ÇDTD), which he pioneered in establishing.

Ugur Yılmaz

Member of the Board

After graduating from METU Metallurgical Engineering Department, Uğur Yılmaz received his master's degree in Precision Casting from the same department and MBA from AITIA- Institute of Business Management.

Yılmaz started his professional career as a Steel Mill Process Engineer at ERDEMİR in 1980 and after serving in various positions, he was appointed as Assistant General Manager of Operations at İSDEMİR, which joined ERDEMİR Group in 2002. After serving in this position for 11 years, he became the Technology Coordinator (CTO) of ERDEMİR Group, responsible for the establishment of Investments, Management Systems, Production Systems and R&D, and also served as the General Manager of ERDEMİR ENGINEERING GROUP (ERENCO).

Uğur Yılmaz continued his career as General Manager at KARDEMİR, Iron and Steel Group President at Diler Holding, and MD and COO at British Steel in the UK.

Ferda Besli

Member of the Board

Having more than 30 years of experience in Corporate Finance, project finance, loan and bank relationship management, and strategic marketing, Besli is the founder and CEO of Besfin. He started his career at Akbank T.A.Ş in 1987. He served as the Banking Inspection Board and Branch Manager, then the Head of the Corporate Banking Department, and the Head of Commercial and SME Banking.

Dr. Yılmaz Argüden

Member of the Board

Dr. Yılmaz Argüden serves as the Chairman of ARGE Consulting. He provides advisory services to numerous Turkish and international companies in the areas of strategy, governance, business excellence, institutional development, and sustainability. Dr. Argüden also served as the Chairman of the Board of Rothschild & Co. investment bank in Türkiye. Throughout his career, he has served on the boards of more than 70 companies across various countries and was the Chairman of the Board of Erdemir between 1997 and 1999.

Internationally recognized for his work on boards of directors and corporate governance, Dr. Argüden has authored books and articles published in numerous languages. He has undertaken various international responsibilities, including serving as the Chair of the Governance Committee of Business at OECD (BIAC) and as a member of the Advisory Board of the IFC Corporate Governance Group. He is also the Chairman of the Board of Trustees of the Argüden Governance Academy.

Dr. Argüden was elected Global Chair of the UN Global Compact Local Networks and served on the Board of the UN Global Compact, the world’s most extensive corporate sustainability platform. During his tenure as Chairman of KalDer, he launched the National Quality Movement.

He has also founded and/or assumed leadership roles in numerous civil society organizations, including the Educational Volunteers Foundation of Türkiye, the Private Sector Volunteers Association, BÜMED, TESEV, and the Turkish-American and Turkish-Canadian Business Councils.

During his high school and university years, he won the Turkish Basketball Championship three times and subsequently served as Vice President of the Turkish Basketball Federation.

Dr. Argüden was recognized by the World Economic Forum as one of the “100 Global Leaders of Tomorrow.” He received the “Outstanding Citizenship Award” for his contributions to Turkish-American relations and was presented with the “Distinguished Industry Leadership Award” by the Industrial Engineering & Operations Management Society.

Fatma Füsun Akkal Bozok

Independent Board Member

Dr. Füsun Akkal Bozok completed her academic education with a bachelor’s degree from the Faculty of Business Administration at Istanbul University, a master’s degree from the Faculty of Administrative Sciences at Boğaziçi University, and a PhD from the Faculty of Business Administration at Istanbul University. She began her professional career at Arthur Andersen, an international audit firm.

Joining Koç Group in 1983 as an auditor at the Internal Audit Department, and subsequently as Assistant Coordinator, she went on to serve as an Audit Coordinator (1992-2003). Between 2003 and 2006, she served as Director of the Finance Group. She also served as a member of the Board of Directors of Yapı Kredi Bank from September 2004 until 2019.

Dr. Bozok currently serves as an Independent Board Member at Otokar Otomotiv ve Savunma Sanayi, Lila Kağıt and Şok Marketler. She is a member of the Corporate Governance Association of Türkiye (TKYD), the Institute of Internal Auditing – Türkiye (TİDE), the Turkish Accounting Experts Association and the Boğaziçi University Alumni Association. She also serves as a Board Member of the 30% Club and acts as a mentor for the Women on Boards Association Türkiye.

Dr. Bozok holds Capital Markets Board of Türkiye licenses in Advanced Level Capital Market Activities, Credit Rating, Corporate Governance Rating and Derivative Instruments.

Tuğrul Fadıllıoğlu

Independent Board Member

Tuğrul Fadıllıoğlu graduated from the Department of Mechanical Engineering at Boğaziçi University in 1982.

Between 1982 and 2002, he held various positions at different functions and management levels within Arçelik from 2002 to 2004. Then, he served as Assistant General Manager responsible for Operations and Technology at Tanı Pazarlama Hizmetleri, before serving as General Manager of the same company from 2004 to 2009. In 2009, Fadıllıoğlu was appointed General Manager of Zer, a position he held until his retirement in 2014. During this period, he also served as a member of the Board of Directors of Tanı Pazarlama Hizmetleri.

While based in İzmir between 1995 and 2000, Tuğrul Fadıllıoğlu served as the Founding Chairman of the İzmir Branch of the Turkish Quality Association (KalDer). In 2000, the final year of this tenure, he also served as a member of the Assembly of the Aegean Region Chamber of Industry.

Following 2015, Fadıllıoğlu held several senior executive and board-level positions, including General Manager of Hidrotam, member of the Board of Directors of ISM, a subsidiary of İnci Holding, General Coordinator of KalDer, and member of the Advisory Board of Doğa OSGB. He also served as the Founding Vice Chairman of the Board of Directors of CCA Corporate Change Academy Consulting and Training Services Inc. and as an Independent Board Member of Arçelik.

Fadıllıoğlu currently serves as a member of the Board of Directors of Sistem Teknik.

Ayşe Selen Kocabaş

Independent Board Member

Ayşe Selen Kocabaş holds a degree in Economics in English from Istanbul University and completed postgraduate studies in Human Resources Management at Marmara University, followed by a Corporate Strategy program at Harvard University. She held executive roles at companies such as Koç Group, Arçelik, and DanoneSa before joining Turkcell in 2002, where she served in senior leadership positions until 2015, also acting as a board member for several subsidiaries. She currently serves on the boards of Tekfen Holding, MultinetUP, Aydın Group, English Home, and Eve Danışmanlık. Kocabaş was the first female president of PERYÖN and is a founding member of Women on Board Association Turkey, YenidenBiz, and Women in Technology Association. She has over 30 years of experience in business development, people management, and strategy.
